Sean Dougherty is an Associate in Simpson Thacher’s Corporate Department, focusing his practice on capital markets transactions. Sean regularly represents underwriters, issuers, private equity sponsors and their portfolio companies, and sovereign entities on IPOs, de-SPACs, SPAC IPOs, follow-on offering, preferred equity issuances, investment grade debt offerings, high yield financings, restructurings, and other securities transactions.

He recently authored a chapter for Practicising Law Institute’s Financial Product Fundamentals treatise, titled “Special Purpose Acquisition Companies,” which provides an extensive overview of SPAC formation, structures and related transactions (including IPOs, PIPEs, de-SPACs).
