Overview

This program provides attorneys and commercial lenders with a practical overview of UCC insurance in transactions involving equity pledges, mezzanine loans, REIT acquisitions, and defaulted loans secured by personal property. Designed for attorneys representing lenders, borrowers, buyers, sellers, or entities involved in commercial real estate-related financing, the course reviews key Article 9 concepts that affect perfection, priority, and enforcement. Participants will examine common pitfalls in perfecting a security interest, including issues involving chain-of-ownership, prior owner liens, certificates, and powers.

The program will also discuss how a UCCPlus Owner's Policy may be used in certain REIT acquisition contexts, including seller requirements and ownership interests. In addition, the course will introduce the basic structure and dynamics of mezzanine loan transactions and review issues that may arise when a loan secured by an equity pledge defaults. The session will conclude with a discussion of public sales and strict foreclosures, including how foreclosure may affect UCC collateral and related real estate considerations. By the end of the program, attorneys will have a clearer understanding of how UCC insurance fits into commercial lending, entity acquisition, and enforcement scenarios.
