Overview

This 60-minute CLE program addresses two converging imperatives for transactional attorneys: implementing effective AI governance programs and navigating the ethical obligations that arise in deal practice. The first segment provides a practical framework for building and deploying AI governance policies, conducting vendor risk assessments, and achieving compliance with emerging regulations including the EU AI Act. The second segment examines the professional responsibility rules governing conflicts of interest, confidentiality, and strategic decision-making in transactional representations. Together, these segments equip practitioners to manage both technological and ethical risks in modern deal practice.

Objectives: 

Upon completion of this program, attendees will be able to:

  1. Understand the foundational elements of an AI governance framework and why attorneys should be conversant in them.
  2. Recognize the regulatory requirements shaping AI compliance, including risk-based classification and documentation obligations.
  3. Identify the conflicts of interest and confidentiality challenges particular to transactional practice.
  4. Understand the ethical guardrails that inform deal strategy and client communication in transactions.
