The purpose of this program is to present the audience with an introduction to the syndication process in a middle-market acquisition financing from the viewpoint of a private equity sponsor, including an overview of the sponsor’s role and key considerations based on current market trends.  

Presented by Samantha Koplik, a partner in Dechert’s global finance practice, the program will cover syndication terms typically included in debt commitment papers for acquisition financing, including an in-depth discussion of market flex provisions. With a focus on the practical concerns that frequently arise for sponsors during syndication, the program will also review the impact of increasingly prevalent large-market terms on the syndication process for middle-market deals.
