Overview

This course is designed to empower attorneys navigating the complex landscape of startup buyouts and litigation with the skills needed to advise founders and investors effectively. Attendees will delve into the intricacies of founder and investor rights, by default and through contract, while exploring the evolving expectations of participants as funding rounds advance and Minimal Viable Product (MVP) is developed. The course begins by providing a comprehensive overview of the legal frameworks governing startup investments (see Reg D / Blue Sky Laws), elucidating the components that contribute to disputes (see Bylaws and Shareholder Agreements) and successful exits (see Corporate Dissolutions). Drawing on established case law and real-world scenarios, participants will gain insights into the evolution and rationale behind these legal principles.

This course was written by a former startup founder who also serves as a commercial litigator. The course is designed for both in-house and outside general counsel who need to provide objective counsel to their C-Suite counterparts when fielding issues related to startups with a specific eye towards PropTech investments and potential litigation.  By the end of this CLE, attorneys will possess the skills and knowledge needed to confidently advise on startup buyouts and litigation, while having an invaluable resource for screening future investments for clients.
