Overview

This course is designed to highlight the key considerations and concepts in a private equity M&A transaction, including the critical differences between M&A involving a private equity buyer versus M&A involving a strategic buyer (including with respect to financing arrangements and certain provisions in the definitive transaction documents).  While our prior course (Nuts and Bolts of M&A Acquisition Agreements) is not a prerequisite for this course, the concepts covered in this course will build upon the general concepts covered in that course.

  1. Highlight the primary objectives and considerations of private equity buyers and how those differ from 'strategic' buyers
  2. Discuss key terms and concepts in private equity M&A acquisition agreements and important ancillary documents
