Overview
This course is designed to highlight the key considerations and concepts in a private equity M&A transaction, including the critical differences between M&A involving a private equity buyer versus M&A involving a strategic buyer (including with respect to financing arrangements and certain provisions in the definitive transaction documents). While our prior course (Nuts and Bolts of M&A Acquisition Agreements) is not a prerequisite for this course, the concepts covered in this course will build upon the general concepts covered in that course.
Learning Objectives:
- Highlight the primary objectives and considerations of private equity buyers and how those differ from 'strategic' buyers
- Discuss key terms and concepts in private equity M&A acquisition agreements and important ancillary documents
- Examine critical areas of focus and common errors to avoid when drafting and negotiating private equity M&A agreements
