Overview

This course, taught by experienced oil and gas transactional attorney Dave Davis III, is designed to assist the learner in identifying and drafting key provisions of the Model Form Production Sharing Agreement ("PSA") used in the upstream oil and gas industry by international oil and gas companies ("IOCs") to contract for oil and gas exploration and production rights in foreign countries.

Learning Objectives: 

  1. Understand the function of the PSA and how it differs from the Production Concession Contract
  2. Identify provisions in the PSA that address material risks for IOCs  and foreign host governments
  3. Discuss material concepts for drafting key PSA provisions
  4. Mitigate common "triggers" that cause IOCs to relinquish contract lands or terminate the PSA
