Overview
This program, taught by Arina Shulga, Partner at Nelson Mullins, will identify and discuss four types of equity crowdfunding models that are currently used, referencing and discussing specific regulations applicable to each model, including the broker-dealer model, the venture capital fund model, the JOBS Act Title II (accredited investor) model, and the JOBS Act Title III model (based on Regulation Crowdfunding). Viewers will identify the specific risks related to conducting equity crowdfunding campaigns, both from the perspective of the crowdfunding platforms as well as the issuers using such platforms. A review of no-action letters, as well as specific laws and rules relating to crowdfunding, such as Sections 4(a)(c) and 4(c) of the Securities Act and the Regulation Crowdfunding, will occur. This program will also look at the trends and identify the key players in the equity crowdfunding space.
