This course, taught by experienced oil and gas transactional attorney Dave Davis III, is designed to assist the viewer in identifying and drafting key provisions of the standard Master Service Agreements (“MSAs”) used in the upstream oil and gas industry to contract for oil field services, goods and equipment and professional and technical consulting.

Learning Objectives: 

  1. Understand the function of the MSA and how it relates to other oil field service agreements
  2. Identify provisions in the standard form MSA that address material risks for oil and gas producers and contractors
  3. Discuss material concepts for drafting key MSA provisions
  4. Compare and contract statutes for various states that address liability indemnification between oil field operators and contractors

Dave Davis III

Dave Davis III has over 10 years-experience as corporate legal counsel in the oil and gas industry, and has experience drafting, negotiating and advising on a variety of upstream and midstream leasing, drill rig, transportation, storage, service and supply agreements.

Dave also brings experience in international transactions representing clients in negotiations with the governments of Equatorial Guinea, Gabon, Montenegro and Croatia, as well as regulatory experience through successful licensing applications with the U.S. Department of Energy and the Regulatory Commission of Alaska.

Dave has also negotiated the acquisition of over $300 million in petroleum assets world-wide.

He currently services many oil and gas producers in the Houston area as a contract attorney supporting in-house counsel with drafting procurement agreements, oil field service agreements and assisting with private equity M&A transactions.
