Overview

Most nonprofit Board members have never served on a nonprofit Board before and do not understand their legal responsibilities. In this presentation, we will discuss Board responsibilities and fiduciary duty, common disputes between Board Members, Founder Syndrome, and what to do if everyone quits. This program will benefit outside counsel and nonprofit consultants that are asked to advise Boards regarding their disputes and difficulties, as well as in-house counsel who need to understand when to call for help.

Learning Objectives:

  1. Discuss why people start nonprofit organizations or serve on nonprofit Boards

  2. Cover the Fiduciary Duty for Board of Directors

  3. Identify the types of disputes that Board Members encounter

  4. Review strategies for conflict resolutions solutions when dealing with Board Members and how to create an atmosphere of trust and support

  5. Discuss Bylaws and drafting strategies as well as on boarding and training requirements to help reduce the likelihood of Board Disputes
