This 2.5 hour CE presentation addresses the legal requirements and issues that pertain to a financing arrangement known as the ROBS product. A “ROBS” product is a structure that enables a client to start a new business--or refinance an existing one--using tax-qualified retirement funds and to do so without triggering a taxable event. A ROBS product is based on specific statutory prohibited transaction exemptions in both the Internal Revenue Code and ERISA. This program is of particular importance to business attorneys and CPAs who have clients who want to utilize a ROBS product to provide financing for a business start-up or a recapitalization of an existing business.
There are highly specialized legal compliance requirements associated with a ROBS product in order for the structure to fall within the parameters of the applicable prohibited transaction exemptions within the IRC and ERISA. This CE would identify those compliance requirements, explain how those requirements fit together, and give examples of the common problems that are encountered. It would also focus on the key points that a business attorney or CPA needs to know to keep a ROBS client in a current, ongoing compliance status.
