Description
This program examines buy/sell agreements. Such agreements are typically recommended in estate and business planning for business owners, including those business owners involved in closely-held corporations, and those involved in noncorporate types of entities, such as partnerships and proprietorships.
A Buy-Sell Agreement is the most important legal document a closely-held or family business can hold. Along with the obvious, legally necessary documents such as articles of incorporation and partnership agreements, every business should possess a properly drafted buy-sell agreement. This course delves into the applicable tax considerations, including the valuation for estate tax basis, the redemptions to pay death taxes, the constructive dividends and the tax consequences of the corporate cross-purchases.
