Trade Secrets & Restrictive Covenants in the Current Economic Climate

Faculty: Gary Glaser, David Monachino
Production Date: July 1 2010

Description

In light of the tumultuous state of the job market and the high rate of employee turnover, protecting trade secrets has become more important than ever. In this timely and compelling program, labor and employment law specialists Gary Glaser and David Monachino discuss the practical impact of the current economic and judicial climate on the protection of trade secrets and the enforcement of restrictive covenants. Mr. Glaser and Mr. Monachino suggest reasonable efforts firms can make to maintain secrecy and protect client relationships when employees resign or are let go, such as deleting passwords and retrieving customer lists and company-issued PDAs. In addition, Mr. Glaser and Mr. Monachino highlight current trends in cases concerning trade secret protection for confidential client information by examining several recent court decisions. This is an excellent presentation for attorneys seeking guidance on how to negotiate and draft non-disclosure agreements and maintain detailed and factual records of employee conduct with regard to theft of trade secrets.

Learning Objectives:
I. Understanding of how restrictive covenants work.
II. Comprehend what constitutes a trade secret.
III. Evaluate the best way to maintain a trade secret.
IV. Foresee the process of enforcing non-compete agreements.
V. Explain the different aspects of trade secrets.
VI. Know what activities are regulated under post termination obligations.

Now that trade secret and non-compete agreements are showing up in more and more areas, from medical practices to manufacturing to business planning, knowing how to approach the violation of employment agreements is critical. There is lots that is worthwhile here. As new statutes or amended acts, are being adopted in many states, an update in these times would also be appreciated. Thanks.
